I represent debtors, creditors, committees, banks, buyers, trustees and other professionals in business bankruptcy cases. In addition to larger assignments, such as representing debtors, committees, or secured creditors, I can efficiently handle more routine matters such as defending preference or fraudulent conveyance cases, challenging or defending liens, and preparing and defending proofs of claim.
Business bankruptcy cases often implicate the interests of individual guarantors or corporate guarantors. My practice is organized to permit me to represent guarantors economically. I have experience representing guarantors in the bankruptcy court and also in “straight” litigation in state and federal courts.
I represent banks and credit unions in many different contexts, including the preparation and review of loan documentation, evaluation of risks associated with the bankruptcy or insolvency of borrowers, and rendering opinions, including opinions on substantive consolidation and the effectiveness of documentation. I also have experience with certain regulatory issues and special procedures, including dissolution, and sales of loan portfolios.
I am able to efficiently handle Sale and Lease issues including the battle of the forms, limitation and exclusion of warranties, limitation of damages clauses, jury waiver and arbitration clauses and similar matters. I also handle matters arising under UCC Articles 3 and 4, and secured transactions under Articles 8 and 9.
I have experience serving as outside general counsel for corporations, and also handle corporate formation, choice of entity issues, secretary of state filings, and related matters affecting corporate governance.
I have extensive experience in the federal and state courts, including on the appellate level. I also have experience in mediation and arbitration. My fee structure makes it possible to handle complex litigation efficiently and effectively. I am able to travel when required, and have often been admitted pro hac vice in federal and state courts other than Ohio and Pennsylvania. I am also a member of the district court bar in several jurisdictions outside of Ohio and Pennsylvania.
